Welcome to Michigan FOIA Portal ("Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website, dashboards, reports, and related services (collectively, the "Service").

By creating an account, starting a subscription, or using the Service in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.


1. Service Description

Michigan FOIA Portal is a subscription-based information service that:

  • Submits and manages FOIA (Freedom of Information Act) requests and related public-records workflows where applicable, and/or
  • Aggregates and organizes information obtained from public agencies, public records, and related data sources.

We provide summaries, reports, and dashboards for informational purposes only. We are not a law firm, do not provide legal advice, and are not a government agency.


2. Eligibility

You must be at least 18 years old and able to enter into a binding contract to use the Service. By using the Service, you represent that you meet these requirements.


3. Accounts & Security

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You agree to notify us immediately of any unauthorized use of your account.

4. Subscriptions, Billing & Renewal

  • Access to the Service is sold as a recurring subscription (monthly) based on the plan you select (Starter, Professional, Enterprise, Hedge Fund / REIT, or other tiers we may offer).
  • By subscribing, you authorize us or our payment processor (Stripe) to charge your payment method on a recurring basis until you cancel.
  • Prices, features, and limits for each plan are described on the pricing page and may change from time to time. Changes will apply to new billing cycles, not retroactively.

5. Cancellations

  • You may cancel your subscription at any time before the next billing date through your account or by contacting support.
  • Cancellation stops future renewals. Unless otherwise stated in our Refund Policy, fees already paid are non-refundable.

6. Data Sources, Accuracy & Limitations

  • Our reports rely on data from third-party public agencies, municipalities, and public-record sources.
  • We do not control how quickly those agencies respond, how they maintain records, or how up-to-date their data is.
  • We make reasonable efforts to present accurate and timely information, but we do not guarantee completeness, accuracy, or suitability for any particular investment or legal decision.

You agree to use our reports as one input among others and to perform your own due diligence.


7. No Legal, Tax, or Investment Advice

The Service is provided for informational and operational convenience only and does not constitute legal, tax, financial, or investment advice. You should consult with qualified professionals before making legal or financial decisions.


8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable FOIA or privacy laws.
  • Resell, publicly redistribute, or misrepresent the reports as your own proprietary data product without our written consent.
  • Attempt to gain unauthorized access to systems, data, or accounts.

9. Intellectual Property

We retain all rights, title, and interest in and to the Service, including our software, branding, report formats, and compiled data presentations. You receive a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes while your subscription is active.


10. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.


11. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Service.


12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses arising out of your use of the Service, violation of these Terms, or misuse of public-record data.


13. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Continued use of the Service after changes become effective constitutes your acceptance of the new Terms.
